Privileged Shares
Class A shares carry privileges regarding the transfer and pledge of shares, nomination of board members, and voting rights at the General Assembly. Class B shares do not carry any privileges.
In the transfer and pledge of Class A shares, the shareholders of Class A have pre-emption rights in proportion to their shareholding. Class A shareholders who wish to sell their shares must notify the other Class A shareholders via notary, stating the number of shares to be sold and the sale price. If the other shareholders either expressly decline the offer or fail to respond within 30 days, the selling shareholder may transfer the shares to third parties, provided that the sale price is not lower than the one previously offered to the existing shareholders. In such a case, the Board of Directors is obliged to approve the share transfer and register it in the share ledger.
Regarding the privilege in nominating members to the Board of Directors, half of the board members (2 out of 5 in a five-member board; 3 out of 6 or 7 in a six- or seven-member board; 4 out of 8 or 9 in an eight- or nine-member board) shall be elected from among the candidates nominated by the holders of Class A shares.
As for the voting privilege, at both ordinary and extraordinary general assembly meetings, each Class A share entitles its holder to 5 (five) votes, whereas each Class B share entitles its holder to 1 (one) vote.
