Privileged Shares

Group A shares carry privileges regarding the right of first refusal in the transfer and assignment of shares, the nomination of candidates to the Board of Directors, and voting at the General Assembly. Group B shares carry no privileges.

In the transfer and assignment of Group A shares, Group A shareholders have a right of first refusal in proportion to their shareholdings. Group A shareholders wishing to sell their shares are required to notify the other Group A shareholders, through a notary public, of the number of shares they intend to sell and the proposed sale price. If the other shareholders declare that they do not wish to purchase the shares at the offered quantity and price, or fail to respond to the notification within 30 days, the shareholder wishing to sell may sell the shares to third parties at a price not lower than that offered to the other shareholders. If the shares are sold to third parties in this manner, the Board of Directors is required to approve the share transfer and record it in the share register. Regarding the privilege of nominating candidates to the Board of Directors, half of the Board members (2 members in a Board consisting of 5 members; 3 members in a Board consisting of 6 or 7 members; and 4 members in a Board consisting of 8 or 9 members) are elected from among the candidates nominated by Group A shareholders.

Regarding voting privileges, at ordinary and extraordinary General Assembly meetings, each Group A share carries 5 (five) voting rights, while each Group B share carries 1 (one) voting right.
